Partner Terms
Last updated 7 October 2026. The English text is the binding version; the Norwegian text is a translation with the same clause numbers.
1. The parties and acceptance
1.1 These terms are between Clarvia AS, organisation number 936 201 520, Kråketorpveien 8A, 1626 Manstad, Norway ("Clarvia"), and the company approved as a partner ("Partner").
1.2 Only companies can be partners. The Partner gives its organisation number or VAT ID and the name of a contact person, and the person who applies must be authorised to bind the company.
1.3 The Partner applies through the form on clarvia.io. One of Clarvia's founders reviews each application and approves or declines it, and may decline without giving a reason. The terms apply from approval.
2. What the Partner does
2.1 The Partner refers companies to Clarvia with its personal referral links from the partner portal at partners.clarvia.io.
2.2 The Partner acts in its own name and at its own cost. It is not Clarvia's agent, cannot make promises on Clarvia's behalf, and cannot sign agreements for Clarvia.
3. Commission or discount - the Partner's choice
3.1 Commission. For a customer referred through the Partner's link, the Partner earns 30 % of each net payment the customer makes to Clarvia during the first 12 months from the customer's first payment.
3.2 Discount instead. For each link, the Partner may instead choose to pass the whole benefit on to the customer: the customer then gets 30 % off its payments for the first 12 months, and the Partner earns no commission on that customer. The choice is all or nothing; it cannot be split. It is set on the link before the customer signs up and cannot be changed for a customer who has already signed up through it.
3.3 Net payment means the amount the customer actually paid, excluding MVA or other VAT and after any refund, credit or discount. Card and payment-processing fees are not deducted.
3.4 Commission covers subscription payments and add-on packs, monthly and annual, made within the 12-month period in clause 3.1. For an annual subscription it is 30 % of the annual payment.
4. Attribution
4.1 A referral counts when the customer subscribes to a paid plan within 90 days of last clicking the Partner's link. The link is remembered with a cookie that is set only if the visitor accepts it.
4.2 If a customer clicked links from more than one partner, the last partner whose link was clicked before the subscription gets the referral.
4.3 A customer who already had a paid subscription, or was already in contact with Clarvia about one, when it first clicked the link is not a new referral. Clarvia's records decide this, and Clarvia shows the Partner the reason.
5. No self-referral and no abuse
5.1 The Partner cannot earn commission or a discount on its own subscription, on companies in its own group, or on companies with the same owners, board or organisation number.
5.2 The Partner may not:
- bid on "Clarvia" or similar terms in search ads, or use domain names, social profiles or app names that contain "Clarvia";
- send spam or unsolicited marketing, or use bought email lists;
- use cookie stuffing, forced clicks, hidden links or anything else that credits it for customers it did not refer;
- open accounts with false details or pay for customers' subscriptions to earn commission.
5.3 Clarvia monitors referrals for unusual patterns (for example many sign-ups from one network in a short time). Clarvia may hold commission on flagged referrals while it looks into them and tells the Partner what it is checking.
6. What the Partner may say
6.1 The Partner describes Clarvia truthfully and only with claims Clarvia itself makes on clarvia.io or in the marketing kit. The Partner never promises rankings, AI mentions, citations, traffic or results, and never makes claims about competitors on Clarvia's behalf.
6.2 The Partner makes clear that it is paid for referrals where marketing law requires it, including the Norwegian Marketing Control Act (markedsføringsloven).
6.3 The Partner may use Clarvia's name, logos and the material in the marketing kit only to refer customers, only as supplied, and only while these terms apply.
7. Payment
7.1 Commission on a payment becomes payable when the payment has cleared and 30 days have passed.
7.2 Each month the partner portal shows the commission that became payable in the previous month. The Partner sends Clarvia an invoice for that amount, with MVA added if the Partner is registered for it. Clarvia pays by bank transfer to the account the Partner registered, within 30 days of receiving a correct invoice. The minimum payout is NOK 500: if less than that is payable in a month, it carries over to the next month until the total reaches NOK 500.
7.3 If a payment the commission was based on is refunded or charged back, the commission is reversed. If it has already been paid, it is set off against the next commission, or the Partner repays it within 30 days if no commission is due.
7.4 The Partner is responsible for its own taxes and duties.
8. Data
8.1 The Partner sees in the portal which of its referrals signed up, their plan and whether it is active. The Partner does not see the customer's content, results or private data.
8.2 Clarvia processes the Partner's data as described in its Privacy Policy. Each party is responsible for its own compliance with data protection law in its own marketing.
9. Term and termination
9.1 Either party may end these terms at any time with 30 days' written notice.
9.2 Clarvia may end them at once if the Partner seriously breaches them, including clause 5 or 6. Commission on referrals affected by the breach is then not due, and commission already paid on them may be reclaimed.
9.3 After an ordinary termination under clause 9.1, the Partner keeps earning commission on customers it referred before the end date, for the rest of their 12-month period, on these terms.
9.4 Clarvia may change these terms with 30 days' notice by email. A Partner that does not accept the change may end the terms before it takes effect.
10. Liability
10.1 Neither party is liable for indirect loss. Clarvia's total liability to the Partner is limited to the commission paid to the Partner in the 12 months before the claim arose.
11. Governing law
11.1 Norwegian law governs these terms. Disputes go to Oslo tingrett as the agreed venue.
